Terms of Service
These Terms of Service ("Terms") govern your access to and use of AgentQuanta software, tools, and services (collectively, the "Suite") provided by MegatronLabs LLC ("we," "us," or "our"). By purchasing a subscription, creating an account, or using any part of the Suite, you agree to these Terms in full.
1. The Suite Is a Tool — You're the Operator
AgentQuanta provides software tools that interface with third-party AI services, including Anthropic's Claude API. You are solely responsible for how you configure and use the Suite. We are not a party to any interaction between you and Anthropic, OpenAI, or any other AI provider you connect to the Suite.
You acknowledge that:
- You must have valid, authorized API credentials for any third-party service you connect to the Suite.
- Any usage of those APIs — including costs incurred — is your responsibility alone.
- We have no visibility into, and bear no liability for, what third-party APIs return or how you act on those results.
2. API Costs and Automation Modes
Important: Automation features within the Suite — including AgentQuanta GSD, Hive mode, and any autonomous or multi-agent workflows — can generate significant AI API usage in a short period of time. You are solely responsible for monitoring and managing your API consumption and associated costs.
We strongly recommend:
- Setting spending limits and alerts on your Anthropic (or other provider) account before enabling automation modes.
- Testing automation workflows in controlled environments before running them at scale.
- Reviewing outputs regularly — autonomous agents can act on incomplete information.
MegatronLabs LLC will not reimburse, credit, or otherwise compensate you for API costs incurred through your use of the Suite, regardless of the cause.
3. Acceptable Use
You agree not to use the Suite to:
- Violate any applicable law or regulation.
- Generate, distribute, or facilitate illegal, harmful, abusive, or deceptive content.
- Circumvent rate limits, abuse free tiers, or otherwise violate the terms of any connected third-party service.
- Reverse-engineer, decompile, or resell any part of the Suite without our written permission.
- Attempt to gain unauthorized access to any system, network, or data.
- Use automation features to harass, spam, or harm individuals or organizations.
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these terms.
4. No Warranty
The Suite is provided "as is" and "as available" without warranty of any kind, express or implied. We make no guarantees that the Suite will be error-free, uninterrupted, or meet your specific requirements.
AI-generated outputs are probabilistic and may be incorrect, incomplete, or inappropriate. You are responsible for reviewing and validating any output before acting on it.
5. Limitation of Liability
To the maximum extent permitted by applicable law, MegatronLabs LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Lost profits or revenue
- Data loss or corruption
- Costs of third-party API usage
- Damages arising from autonomous or automated actions taken by the Suite
- Any harm resulting from AI-generated content or decisions made in reliance on it
Our total aggregate liability to you for any claim arising out of these Terms or your use of the Suite shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.
6. Subscriptions and Billing
Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on a recurring basis until you cancel. Cancellations take effect at the end of the current billing period — we do not issue prorated refunds for partial periods.
Free trial periods, where offered, convert automatically to paid subscriptions at the end of the trial unless cancelled beforehand.
7. Changes to the Suite and These Terms
We may modify the Suite or these Terms at any time. We'll make reasonable efforts to notify you of material changes via email. Continued use of the Suite after changes take effect constitutes your acceptance of the updated Terms.
8. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Oakland County, Michigan.
